If you’re a business owner, please read the following information.
In 2021, Congress passed the Corporate Transparency Act (CTA) as part of the Financial Crimes Enforcement Network (FinCEN), a bureau of the US Department of Treasury. This act required all companies to register their operations with FinCEN. Consequently, entities originally registered with a state Secretary of State, such as corporations, partnerships, and limited liability companies (LLCs), were federally mandated to register through the BOI E-Filing system by the initial deadline of January 1, 2025. Non-compliance could have resulted in penalties of up to $10,000 and up to two years of imprisonment. However, the requirement has been stayed, reinstated, and stayed again since then.
We do not know if or when the stay will be lifted again, or if a new filing deadline will be set. It is possible that the requirement may ultimately be rescinded, but this remains uncertain.
For clients with applicable companies who may wish to voluntarily register, for any reason, and would like our assistance, we recommend doing so as part of the business tax return preparation process this tax season.
For clients with applicable companies who prefer to wait until the requirement is confirmed as mandatory, and would like our help, we will be available to assist after May 15, 2025, which may be after any reinstated deadline. We will not be able to schedule such filings before then. As always, if you have any questions, please feel free to call our office.
